The English translation of the Roha Executive Terms and Conditions serves as a convenience for our non-German-speaking customers. However, please note that only the original German-language version holds legal validity. In New York City, Roha Executive GmbH doesn’t directly dispatch trips to chauffeurs, adhering to the regulations set by the New York City Taxi and Limousine Commission (TLC). 1. General Roha Executive GmbH,
located at Feurigstraße 59, 10827 Berlin (referred to as “Roha Executive”), facilitates travel service bookings through its online platform, associated platforms, and mobile applications (“Apps” collectively referred to as “BL Tools”). Roha Executive’s service consists solely of arranging entitlement to carriage for Users through transportation service providers (“TSPs”) as intermediaries, rather than providing the travel service itself.
These Terms and Conditions (“Terms”) are integral to every agreement between Users and Roha Executive for arranging travel services. They detail the travel services offered through the entitlement created by Roha Executive between the User and the TSP.
Deviation from these User Terms, including letters of confirmation and unconditional services, is rejected unless expressly agreed to in writing by Roha Executive’s management.
2. Contractual Relationship and Conclusion of Contract
2.1 Contractual Relationship Roha Executive neither provides the travel services presented through BL Tools nor does it do so through third parties. Roha Executive arranges solely for the User an entitlement to carriage over a TSP independent of Roha Executive.
Thus, Roha Executive arranges with the TSP in its own name, providing the User an entitlement to carriage over the TSP (“Third-Party Beneficiary” or “Contract of Carriage for the Benefit of the User”). Consequently, Users can directly demand travel services and other claims from the TSP.
Users use Roha Executive solely as an intermediary or arranger and not as a transport service. Roha Executive’s compensation comprises arrangement fees and advance payments to the TSP.
2.2 Conclusion By submitting a completed booking form via BL Tools or by telephone (“Ride Request”), the User makes an offer to conclude an arrangement agreement with Roha Executive. The agreement aims to arrange the travel service meeting the User’s Ride Request.
Roha Executive sends the User an email confirming receipt of the ride details, confirming only the receipt of the Ride Request.
The arrangement agreement between Roha Executive and the User for the requested travel service is finalized only upon Roha Executive’s separate statement (“Booking Confirmation”) via email. The User is then entitled to demand transportation services directly from the TSP and make further claims directly against the TSP.
3. User Registration Requirements for the Use of BL Tools Users are responsible for ensuring all information provided to Roha Executive, whether by themselves or on their behalf, is complete and accurate. Automated registration methods are prohibited.
4. Selected Topics of the Contract of Carriage for the Benefit of the User Under Paragraph 4, described details of the User’s Ride Request (“Travel Arrangements”) allow demands to the TSP only if agreed upon in the arrangement agreement with Roha Executive.
